1. GENERAL PROVISIONS
1.1 Scope and Acceptance
These General Conditions of Use (the “Conditions”) govern the access and use of the mobile application “Blix” and associated website (collectively, the “Platform”) provided by Blix Solutions Pvt Ltd (“Company”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013.
By downloading, registering, or using the Platform, you (“User”, “Member”) confirm that you are at least 18 years of age and agree to be bound by these Conditions. If you do not agree, you must immediately stop using the Platform.
1.2 Definitions
- “Ride Credits”: Closed-system, non-cash credits issued by Blix Solutions Pvt Ltd, usable only for booking rides on the Platform. Ride Credits are not a wallet, not legal tender, and not a prepaid payment instrument under RBI regulations.
- “Cost Contribution”: The amount agreed between the Driver and Passenger solely to share fuel and vehicle-related costs. Drivers must not generate profit.
- “Driver”: A Member offering a ride through the Platform.
- “Passenger”: A Member booking a seat on a ride.
- “Service Fee”: The platform usage fee charged by the Company.
- “Trip”: A specific journey arranged through the Platform.
2. NATURE OF THE SERVICE
CRITICAL NOTICE: Blix is a technology marketplace and not a transport service provider.
- No Profit for Drivers: Drivers agree not to earn profit from Trips. The Platform is strictly for cost-sharing (carpooling).
- Not a Taxi Service: The Company does not own vehicles, employ drivers, or provide transportation services. The contract for each Trip is strictly between the Driver and Passenger.
- Insurance Responsibility: Drivers are solely responsible for maintaining valid vehicle insurance that permits private carpooling.
3. PAYMENT TERMS & COLLECTION AGENT MODEL
3.1 Role of Company as Limited Collection Agent
To facilitate secure payments, you appoint Blix Solutions Pvt Ltd as a limited payment collection agent for the Driver.
- Discharge of Obligation: When a Passenger pays the booking amount through the Platform, the Passenger’s payment obligation to the Driver is fully satisfied.
- Settlement Responsibility: The Company is responsible for settling the Driver’s earnings. Any claim for non-settlement shall be made against the Company and not the Passenger.
3.2 Ride Credits (Closed System)
- Ride Credits are closed-system credits usable only on the Blix Platform.
- Ride Credits cannot be withdrawn to a bank account by Passengers.
- Ride Credits are issued strictly for booking a specific Trip and do not represent stored monetary value.
- Regulatory Clarification: Blix Solutions Pvt Ltd does not store customer funds. All payments are processed through RBI-authorized payment gateways. Ride Credits do not constitute a prepaid payment instrument or wallet under RBI regulations.
3.3 Driver Earnings and Payouts
- Upon successful completion of a Trip, the Cost Contribution (after deducting the Service Fee) is credited to the Driver’s Driver Earnings Account.
- Driver Earnings represent settled receivables and may be withdrawn to the Driver’s verified bank account.
- Payouts are typically processed within T+2 to T+3 business days, subject to banking timelines and verification.
4. CANCELLATION AND REFUNDS
4.1 Cancellation Policy
- Driver Cancellation: The Passenger receives a refund of applicable Ride Credits as displayed in the App.
- Passenger Cancellation: Refunds and penalties depend on the cancellation time, ride status, and policies shown in the App at booking time.
- No-Show: In case of a Passenger no-show, refunds may not be issued and penalties may apply as displayed in the App.
The in-app calculation shown at the time of cancellation shall be final.
5. USER VERIFICATION (KYC)
To ensure safety and regulatory compliance:
- Identity Verification: The Company may require Aadhaar, PAN, or other government-issued ID.
- Driver Requirements: Drivers must submit a valid Driving License, Vehicle Registration (RC), and Insurance to offer rides.
- Fraud Prevention: The Company may freeze Ride Credits or Driver Earnings in cases of suspected fraud, collusion, or unlawful activity.
6. OBLIGATIONS
6.1 Driver Obligations
- Arrive on time with the registered vehicle.
- Wait at least 15 minutes at the pickup point.
- Do not request or accept cash payments.
6.2 Passenger Obligations
- Pay the booking amount through the Platform.
- Be punctual and maintain vehicle cleanliness.
- Do not carry illegal or hazardous materials.
7. LIMITATION OF LIABILITY
- Platform Role: The Company is not liable for accidents, delays, injuries, or loss of personal belongings.
- Liability Cap: Maximum liability is limited to the Service Fees paid by the User in the last 6 months or INR 1,000, whichever is lower.
8. INDEMNITY
You agree to indemnify and hold harmless Blix Solutions Pvt Ltd, its directors, and employees from claims arising from your breach of these Conditions or violation of applicable laws, including the Motor Vehicles Act.
9. GOVERNING LAW AND JURISDICTION
These Conditions are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the Courts of Thane, Maharashtra.
10. ACCOUNT TERMINATION & DELETION
10.1 Termination by User
You may delete your account through the App.
- Unused Ride Credits: Any unused Ride Credits may be refunded at the Company’s discretion, subject to applicable laws, payment gateway charges, and verification.
- Driver Earnings: Drivers must withdraw eligible earnings before account deletion.
- Irreversibility: Permanent deletion is irreversible.
10.2 Termination by Company
The Company may suspend or terminate accounts without notice in cases of:
- Breach of these Conditions
- Safety or harassment complaints
- Fraud or suspicious activity
11. CHANGES TO TERMS
The Company may modify these Conditions from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
12. SEVERABILITY
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
